Terms of Service

1. Service Description

ClickRadius is a software-as-a-service platform that analyzes websites for AI search readiness, generates and deploys optimization fixes, monitors brand citations across AI engines (ChatGPT, Claude, Gemini, Perplexity), and produces white-label reports. Operated by Total AI Marketing LLC ("we," "us," "ClickRadius") in partnership with ClickRadius LLC, which owns the underlying intellectual property.

2. Account Eligibility & Responsibility

• You must be at least 18 years old and authorized to enter into binding agreements.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity under your account.
• You agree to provide accurate information and keep it updated.
• You must notify us immediately of any unauthorized access.

3. Plans, Fees, and Payment

Retail Plans

• Essentials — $199/month per single website (advisory tier).
• Professional — $399/month per single website (full platform).
• Premium — $699/month per single website (high-content tier).
• Enterprise — custom pricing for multi-site businesses.
• Annual prepay available with approximately 15% discount.

Agency / Reseller Plans

Agency wholesale pricing is set at $200/site/month (Standard) with optional $100/site Premium add-on. A one-time $249 reseller setup fee and $49 per-site setup fee apply. See the separate Partner Agreement for full terms.

Payment Terms

• Retail plans are billed monthly in advance via credit card.
• Annual plans are billed in full at the start of the term.
• Agency invoices are net-15 unless otherwise agreed.
• A 2.9% credit card processing fee applies to all card payments.
• Late payments may incur a 1.5% monthly finance charge.
• Service may be suspended for non-payment after 30 days past due.

Refunds

Monthly subscriptions are non-refundable for the current billing period. You may cancel future renewals at any time. Annual prepayments are refundable on a pro-rata basis within the first 30 days; after 30 days, prepayments are non-refundable.

4. Acceptable Use

You agree NOT to:

• Use the platform for any unlawful purpose
• Submit websites you do not own or have explicit authorization to modify
• Attempt to reverse-engineer, decompile, or extract the underlying source code or algorithms
• Use automated tools to scrape, harvest, or copy data from the platform
• Resell or sublicense the platform without an authorized agency partner agreement
• Attempt to circumvent usage limits, rate limits, or feature gates
• Submit malicious code, content that infringes intellectual property, or content that is illegal in any applicable jurisdiction
• Use the platform in a manner that could damage, disable, or impair the service

5. Auto-Fix Deployment Authorization

If you authorize ClickRadius to deploy fixes to your website (via WordPress REST API, JavaScript snippet, or Cloudflare Worker), you represent that:

• You have full authorization to make changes to the website
• You have backups of your website prior to enabling auto-fix
• You understand that automated changes can be reverted via the platform’s revert function

ClickRadius is not liable for any indirect business impact resulting from authorized fixes deployed to a website you control.

6. Intellectual Property

The ClickRadius platform, including its scoring algorithms, content generation methods, schema templates, and patent-pending closed-loop architecture, is the exclusive property of ClickRadius LLC. We grant you a non-exclusive, non-transferable, revocable license to use the platform for your business purposes during the term of your subscription.

Content generated by the platform on your behalf (articles, schema markup, meta tags) becomes your property upon publication, subject to our continued license to use anonymized aggregate data for service improvement.

7. Service Levels & Guarantees

We commit to 99% platform uptime, excluding scheduled maintenance windows announced at least 48 hours in advance. We do not guarantee:

• Specific search engine rankings
• Specific AI citation rates or volumes
• Specific traffic, lead, or revenue outcomes

AI engines and search engines are subject to algorithm changes beyond our control. Past results do not predict future outcomes.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
• WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Indemnification

You agree to indemnify, defend, and hold harmless Total AI Marketing LLC, ClickRadius LLC, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from: (a) your breach of these Terms; (b) your misuse of the platform; (c) your violation of any third-party rights; or (d) any content you submit, publish, or deploy through the platform.

10. Termination

You may cancel at any time from your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. We may suspend or terminate your account for: violation of these Terms, non-payment, fraudulent activity, or as required by law. Upon termination, your access ceases and your data may be deleted after 90 days unless retention is required by law.

11. Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict-of-laws principles. Any dispute arising from these Terms shall be resolved by:

1. Good-faith negotiation between the parties for at least 30 days, then
2. Binding arbitration in Maricopa County, Arizona, under the rules of the American Arbitration Association.

You waive any right to a jury trial or to participate in a class action.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.

13. General Provisions

• Entire Agreement: these Terms, together with the Privacy Policy and any plan-specific addenda, constitute the entire agreement between you and ClickRadius.
• Severability: if any provision is held invalid, the remainder shall continue in full force.
• Assignment: you may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or asset sale.
• Force Majeure: neither party is liable for delays or failures caused by events beyond reasonable control.
• Notices: notices to you may be sent to your account email; notices to us should be sent to info@totalaimarketing.com.
